End User License Agreement

• "Licensor" means Figure Ground NYC, the developer and owner of the Pyvoid software.
• "Licensee" (or "you") means the individual or entity that downloads, installs, or uses the Software.
• "Software" means the Pyvoid extension for Autodesk Revit, including all modules, tools, scripts, libraries, icons, documentation, and any updates or patches provided by the Licensor.

Subject to the terms of this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install the Software on computers where you have a licensed copy of Autodesk Revit
• Use the Software for your internal business or personal purposes
• Make a reasonable number of backup copies of the Software for archival purposes

The license is granted per user. Each individual who uses the Software must have their own license (Free, Pro, or Enterprise tier). A single user may install the Software on multiple machines they personally use.

You may not:

• Copy or distribute the Software except for backup purposes as permitted above
• Modify or adapt the Software or create derivative works based on it
• Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law
• Sublicense, rent, lease, or lend the Software to any third party
• Remove or alter any proprietary notices, labels, or marks on the Software
• Circumvent or disable any licensing, authentication, or usage-limiting mechanisms in the Software
• Use the Software to develop a product or service that competes with Pyvoid

The Software is installed as an extension for Autodesk Revit and operates within the Revit environment. The Software requires a compatible version of Autodesk Revit to function.

The Licensor may release updates, patches, or new versions of the Software from time to time. Updates may be installed automatically or require manual action, depending on your configuration. Updates are subject to this Agreement unless accompanied by a separate agreement.

The Licensor is not obligated to provide updates, maintenance, or support beyond what is specified in your subscription tier.

The Software is available under the following subscription tiers:

• Free. Access to all core tools with unlimited usage. Premium tools are limited to 5 runs per month. Community support only.
• Pro. Everything in Free, plus unlimited premium tool runs, full governance workflows, early access to new tools, and priority support. Billed monthly ($50/mo) or annually ($540/yr).
• Enterprise. Everything in Pro, plus centralized configuration, managed deployment, role-based access controls, team reporting, and dedicated support with SLA. Pricing by agreement.

The Licensor reserves the right to change tier features and pricing with at least 30 days' notice. See our Pricing page for current details.

The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights.

This Agreement does not grant you any rights to the Licensor's trademarks, service marks, or branding. You may not use the Pyvoid name or logo without prior written consent, except to the extent necessary to describe your use of the Software.

You retain all rights to your Revit models, project data, and any output generated by the Software when processing your data.

The Software operates within Autodesk Revit and depends on the Revit API. Your use of Autodesk Revit is governed by your separate agreement with Autodesk. The Licensor is not affiliated with Autodesk and makes no representations regarding Revit.

The Software may include or depend on open-source components. These components are provided under their respective licenses, which may grant you additional rights or impose additional obligations. A list of open-source components and their licenses is available upon request.

The Software collects anonymous telemetry data to improve product quality. This data does not include your Revit model content. For full details, see our Privacy Policy.

All processing of your Revit models occurs locally on your machine. The Software does not transmit model data to external servers.

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Licensor does not warrant that the Software will be error-free, uninterrupted, or compatible with all versions of Autodesk Revit. The Software interacts with Revit's API, which may change between versions. While the Licensor endeavors to maintain compatibility, we cannot guarantee it.

You are solely responsible for determining whether the Software is suitable for your needs and for maintaining backups of your data.

To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

The Licensor's total liability for all claims arising from this Agreement shall not exceed the greater of (a) the amount you paid for the Software in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

This limitation applies to all causes of action in the aggregate, including breach of contract, tort, negligence, and any other legal theory.

You agree to indemnify and hold harmless the Licensor from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Software, your violation of this Agreement, or your violation of any applicable law or third-party rights.

This Agreement is effective until terminated. It will terminate automatically if you fail to comply with any of its terms.

You may terminate this Agreement at any time by uninstalling the Software and destroying all copies in your possession. For paid subscriptions, cancellation takes effect at the end of the current billing period.

The Licensor may terminate this Agreement if you breach its terms, if required by law, or if the Licensor discontinues the Software. We will provide reasonable notice when practicable.

Upon termination, you must cease all use of the Software and uninstall it from all machines. The following sections survive termination: Ownership, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law.

You agree to comply with all applicable export control laws and regulations when using the Software. You may not export or re-export the Software to any country, entity, or person prohibited by applicable export control laws.

This Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in New York County, New York.

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Licensor regarding the Software.

If any provision of this Agreement is held unenforceable, the remaining provisions shall continue in full force. The Licensor's failure to enforce any right does not constitute a waiver. This Agreement may not be amended except in writing by the Licensor.
